ER Media is not liable for any indirect, incidental, or consequential damages arising from the use of our services.

### Termination

Either party may terminate this agreement with a written notice of 30 days. Upon termination, all outstanding payments must be settled.

This agreement shall be governed by the laws of Ontario, Canada, without regard to its conflict of law principles.

Service usage rules

By accessing ER Media's digital marketing services, users agree to adhere to specific guidelines designed to ensure fair and responsible use. These terms outline the acceptable ways clients and users may interact with our platforms and services.

Users must use our services exclusively for lawful purposes related to digital marketing and construction industry promotion. Any attempts to misuse, manipulate, or exploit our systems are strictly prohibited and may result in immediate service termination.

We reserve the right to monitor service usage and take appropriate action to protect our digital infrastructure and client interests. Unauthorized access, data scraping, or attempts to compromise our systems will not be tolerated.

Clients are responsible for maintaining the confidentiality of their account credentials and ensuring that all activities conducted through their accounts comply with these terms. Any suspicious or unauthorized activities should be reported immediately.

Violation of these usage rules may result in account suspension, service termination, and potential legal action to protect our business and clients.

Account registration policies

Creating an account with ER Media requires users to provide accurate and current information. We verify all registration details to maintain the integrity of our digital marketing services for Ontario construction companies.

Users must be at least 18 years old and have the legal authority to enter into service agreements. Each account is intended for a single business entity, and sharing credentials is strictly prohibited to ensure security and personalized service.

We implement robust security measures to protect user accounts, including encrypted password storage and multi-factor authentication options. However, users are ultimately responsible for maintaining the confidentiality of their login credentials.

ER Media reserves the right to request additional verification, suspend accounts with suspicious activities, or terminate registrations that do not meet our standards. Account holders are responsible for all actions performed under their credentials.

By registering, users consent to receive important service communications and agree to our data handling and privacy practices as outlined in our separate privacy policy.

Intellectual property rights

ER Media retains full ownership of all original content, designs, software, and intellectual property created as part of our digital marketing services. Clients are granted a limited, non-transferable license to use specific deliverables within the scope of their contracted services.

Any custom websites, SEO strategies, or marketing materials developed by our team remain the exclusive intellectual property of ER Media. Clients may not reproduce, redistribute, or repurpose these assets without explicit written permission.

Clients guarantee that materials they provide for marketing purposes are owned or properly licensed, and they assume full responsibility for any potential copyright infringements. We are not liable for content supplied by clients that may violate intellectual property laws.

Trademarks, logos, and brand identities created during our service engagement are protected under Canadian intellectual property regulations. Unauthorized use or reproduction is strictly prohibited and may result in legal action.

Upon service completion or contract termination, ER Media maintains the right to showcase project work in our portfolio while respecting client confidentiality and brand sensitivity.

Payment and billing terms

Our “Build Your Brand” package is offered exclusively as a 6-month contract at $1,500 per month for Ontario construction businesses. This fee covers all services and deliverables outlined in your agreement.

Payment is due at the start of each monthly service period. We accept major credit cards, electronic bank transfers, and select digital payment platforms. Late payments may result in temporary suspension of services until the account is brought current.

The full 6-month commitment is required. Refunds are not provided for partially used months or early cancellation after the contract begins.

ER Media may update billing terms or service details with 30 days’ written notice. Continued use of services after changes constitutes acceptance of the new terms.

All financial transactions are processed securely, and we maintain strict confidentiality of your payment information in compliance with Canadian data protection regulations.

Limitation of liability

ER Media provides digital marketing services with reasonable care and professional expertise, but we cannot guarantee specific business outcomes or marketing results. Clients acknowledge that digital marketing performance depends on numerous external factors.

Our total liability is strictly limited to the total amount paid for services during the immediate preceding 12-month period. We are not responsible for indirect, consequential, or incidental damages arising from service use.

While we implement robust security measures, we cannot guarantee absolute protection against cyber threats, data breaches, or technological disruptions. Clients are encouraged to maintain their own supplementary security practices.

ER Media disclaims responsibility for any losses, damages, or business interruptions resulting from service unavailability, technological limitations, or circumstances beyond our direct control.

By engaging our services, clients agree to these liability limitations and understand that our role is to provide professional digital marketing support, not to ensure specific business performance.

Service termination conditions

ER Media maintains the right to terminate service access immediately if users violate our terms of service, engage in fraudulent activities, or compromise our digital infrastructure. Termination may occur with or without prior notice, depending on the severity of the violation.

Clients may voluntarily terminate their services by providing written notice in accordance with their specific contract terms. Early termination may be subject to prorated fees or contractual penalties outlined in the original agreement.

In cases of repeated violations, suspected illegal activities, or persistent non-compliance with our terms, we reserve the right to permanently ban users and terminate all associated services without further obligation.

Upon service termination, clients must cease using all ER Media-provided digital assets, including websites, chatbots, and marketing materials. A transition period may be negotiated to ensure minimal business disruption.

ER Media will retain relevant client data as required by legal and regulatory standards, even after service termination, to maintain appropriate business records.

Governing legal jurisdiction

These terms of service are governed by the laws of the Province of Ontario and the federal laws of Canada. Any disputes arising from our digital marketing services will be resolved through the court systems of Ontario.

In the event of any legal proceedings, the exclusive jurisdiction and venue will be the courts located in the region where ER Media is primarily registered. Users agree to submit to the personal jurisdiction of these courts.

Should any portion of these terms be found invalid or unenforceable, the remaining provisions will continue to be valid and enforceable to the maximum extent permitted by law. We may update these terms periodically to reflect changes in legal requirements.

International clients acknowledge and agree that by using our services, they are subject to Canadian legal standards and regulations, regardless of their geographic location.

Any waiver of these terms must be made in writing and signed by an authorized representative of ER Media to be considered valid.
